* Vesting, on 8 October 2025, of 17,000 performance shares (under the Performance Share Plan approved by the Board of Directors at its meeting on 7 October 2021), at a per-share price of €379.50, after the Board of Directors placed on record at its 6 February 2025 meeting that the performance conditions for the 2022, 2023 and 2024 financial years had been met.
** Intra-group acquisition by Nestlé Equity Holdings Limited (a subsidiary that is 36.7% owned by Société des Produits Nestlé SA, itself 100% owned by Nestlé SA and 63.3% owned by NTC-Europe SA, itself 100% owned by Société des Produits Nestlé SA) of all the L'Oréal shares previously held directly by Nestlé SA, as part of an internal reclassification within the Nestlé group. Following this transaction, Nestlé SA maintained its shareholding in L'Oréal both (i) on an individual basis due to assimilation as provided for under Article L. 233-9, I, 2° of the French Commercial Code, and (ii) in concert with Nestlé Equity Holdings Limited, Société des Produits Nestlé SA and NTC-Europe SA.
