EXPLANATORY STATEMENT
The Annual General Meeting is asked to amend Article 12 of the Company's Articles of Association ("General rules" concerning General Meetings):
- to allow the widespread use of electronic shareholder notices, including for registered shareholders, as permitted following the publication on 13 February 2026 of Decree no. 2026-94 on the modernisation of the methods of communicating with shareholders (France’s "Attractiveness" Act); this option will be effective for general meetings convened on or after 1 July 2026, in accordance with the regulations;
- simplify the wording by replacing certain regulatory references with a reference to the applicable regulations.
