Remuneration of corporate officers
- Analysis of the voting policies of investors and proxy advisors concerning remuneration issues;
- Remuneration of the corporate officers for financial years 2024 and 2025:
- analysis of the Chief Executive Officer's performance in 2024 and recommendation to the Board of Directors on 2024 variable annual remuneration, and
- proposal of the targets and weightings for 2025 for the Chief Executive Officer;
- Remuneration of the corporate officers for financial year 2026:
- review of the remuneration policy applicable to the Chairman of the Board of Directors and to the CEO,
- analysis of the voting results of the 2025 General Meeting, particularly those relating to the Chief Executive Officer's 2025 remuneration policy;
- reflection about the various components of the Chief Executive Officer's remuneration for 2026;
- Say on Pay: preparation of the draft resolutions to be proposed to the General Meeting of 24 April 2026;
- Review of pay gap ratios; and
- Review of the 2025 General Meeting season.
Remuneration of Directors
- Remuneration of Directors, breakdown for 2025; and
- Proposed changes to the policy and aggregate amount for Directors' remuneration to be put to the vote of the General Meeting of 24 April 2026.
Related-party agreements
Review of the ongoing related-party agreement relating to Nicolas Hieronimus.
Human Resources policy
- Review of L'Oréal's remuneration and benefits policy, including measures to reduce the gender pay gap;
- Review of the skills-related Learning policy;
- Review of executive pension schemes in France and abroad;
- Analysis of the achievements of, and outlook for, the Human Resources Policy; and
- Review of the policy on diversity, equality and inclusion in management bodies: presentation of the various levers and results obtained, specifically regarding gender balance in executive management bodies(1) ;
Long-Term Incentives (LTI) Policy
- Delivery of LTI plans: recording of performance relating to the 2021 ACAs Plan;
- Preparation of the October 2025 ACAs Plan; and
- Proposed allocation to the Chief Executive Officer for 2025.
Employee share ownership plan
Review of the fifth Worldwide Plan implemented in 2025 and review of the proposed sixth Worldwide Plan for 2026.
